⚠️ IMPORTANT — LIMITATION OF LIABILITY AND ARBITRATION: These Terms contain provisions in Sections 11 and 12 that limit ShotLabs' liability and require individual binding arbitration of disputes. Please read these sections carefully before using the Platform.
These Terms of Service ("Terms") govern your access to and use of ShotLabs, including the mobile application, website at shotlabsbasketball.com, and all related services (collectively, the "Platform"), operated by ShotLabs LLC ("ShotLabs," "we," "us," or "our").
By creating an account, downloading the app, or using any part of the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
If you are accepting these Terms on behalf of an organization, team, or league, you represent that you have authority to bind that entity to these Terms and that entity accepts these Terms.
You must be at least 13 years old to create an account and use ShotLabs independently. Users between the ages of 13 and 17 represent that they have obtained parental or guardian consent to use the Platform.
In compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under the age of 13 without verified parental consent. If a parent or legal guardian provides consent through our in-app parental consent flow, a child under 13 may be added to a team roster and participate through their parent's account.
If we become aware that we have collected personal information from a child under 13 without verified parental consent, we will delete that information promptly. To report a concern, contact us at support@shotlabsbasketball.com.
By providing parental consent for a child under 13 to use the Platform, the consenting parent or guardian agrees to: (a) be bound by these Terms on behalf of the minor; (b) be responsible for the minor's compliance with these Terms; and (c) indemnify, defend, and hold harmless ShotLabs and its officers, directors, employees, and agents from any claim, liability, cost, or expense (including reasonable attorneys' fees) arising from the minor's use of the Platform or the parent's breach of this consent obligation.
You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.
ShotLabs provides a digital platform for basketball community coordination, including player profile management, pickup game discovery and scheduling, team and organization management, league and tournament administration, fan-follow functionality, optional peer reputation features, and AI-assisted in-app support (Nova).
THE PLATFORM IS PROVIDED ON A BEST-EFFORTS BASIS. SHOTLABS MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE OF ANY SPECIFIC LEVEL OF AVAILABILITY, UPTIME, PERFORMANCE, OR FEATURE CONTINUITY. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE AVAILABLE AT ANY PARTICULAR TIME OR THAT ANY PARTICULAR FEATURE WILL REMAIN AVAILABLE.
Features may be added, modified, suspended, or removed at any time at ShotLabs' sole discretion. ShotLabs is not liable for any harm resulting from modification or removal of features, including features relied upon by leagues, tournaments, or teams in active operation. Where possible, ShotLabs will provide reasonable notice of material feature changes.
Nothing on the Platform constitutes professional coaching, medical, legal, or financial advice. Nova, ShotLabs' AI companion, provides general platform assistance only and is not a substitute for qualified professional judgment in any domain.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You may not share your account with others, create accounts using false identities, or create multiple accounts to circumvent suspensions or restrictions.
We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion, with or without prior notice.
Participation in the peer ratings system is entirely voluntary and requires your explicit consent. Peer ratings are not enabled by default. To participate, you must actively opt in during the Player onboarding flow or through Profile Settings at any time.
By opting in, you acknowledge and agree that: Players you have shared the court with in verified game sessions may submit subjective ratings about your play across five categories. These ratings will be displayed on your profile to other authenticated Platform users once the minimum submission threshold is reached. You may opt out at any time through Profile Settings.
Players must be at least 13 years of age to opt in to the peer ratings system. This restriction is enforced at the platform level based on date of birth provided at registration.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (A) PEER RATINGS AND NO-SHOW RECORDS REFLECT SUBJECTIVE OPINIONS OF COMMUNITY MEMBERS AND ARE NOT VERIFIED FACTS, PROFESSIONAL ASSESSMENTS, OR STATEMENTS OF FACT BY SHOTLABS; (B) SHOTLABS DOES NOT INDEPENDENTLY VERIFY THE ACCURACY OR FAIRNESS OF ANY RATING OR NO-SHOW REPORT; (C) REPUTATION DATA MUST NOT BE RELIED UPON FOR ANY PROFESSIONAL, EMPLOYMENT, ATHLETIC, SCHOLARSHIP, OR FINANCIAL DECISION; (D) SHOTLABS EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY CONSEQUENCE OF ANY RATING SUBMITTED BY A THIRD-PARTY USER, INCLUDING WITHOUT LIMITATION CONSEQUENCES TO YOUR ATHLETIC CAREER, COACHING CAREER, SCHOLARSHIP OPPORTUNITIES, EMPLOYMENT, OR REPUTATION.
Players who have opted in to peer ratings will be notified within the locker room flow before each game session that co-participants may submit ratings after the game concludes.
You may opt out of the peer ratings system at any time through Profile Settings. Upon opting out:
If you believe a no-show record or peer rating is inaccurate, was submitted in bad faith, or was submitted by someone who was not a verified co-participant, you may submit a dispute through the in-app dispute feature. Disputes are reviewed by ShotLabs administrators within 14 business days. Dispute decisions are final. ShotLabs is under no obligation to remove any rating it determines to be genuine community feedback from a verified co-participant.
You may not coordinate with other users to submit false no-show reports or manipulated ratings. Violation may result in immediate account termination. ShotLabs reserves the right to pursue legal remedies against users engaged in coordinated bad-faith rating manipulation.
Ratings may only be updated once per 30-day period per rated player to prevent gaming of the reputation system.
ShotLabs facilitates the discovery and scheduling of in-person sports activities. BY USING THE PLATFORM TO PARTICIPATE IN, ORGANIZE, OR JOIN ANY SPORTS ACTIVITY, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE, WAIVE, AND DISCHARGE SHOTLABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL LIABILITY FOR PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH ARISING FROM YOUR PARTICIPATION IN ANY ACTIVITY ORGANIZED OR DISCOVERED THROUGH THE PLATFORM, WHETHER CAUSED BY THE NEGLIGENCE OF SHOTLABS OR OTHERWISE.
ShotLabs does not collect, process, hold, or guarantee any entry fees, registration fees, or other payments associated with leagues or tournaments. All financial transactions are conducted directly between teams and event organizers. ShotLabs is not a party to any financial transaction facilitated through the Platform.
SHOTLABS ASSUMES NO LIABILITY WHATSOEVER FOR ENTRY FEES, REGISTRATION FEES, REFUNDS, EVENT CANCELLATIONS, OR ANY OTHER FINANCIAL MATTER ARISING FROM USE OF THE PLATFORM.
Event organizers are solely and exclusively responsible for: setting and communicating fees and refund policies; collecting and disbursing payments; resolving all financial disputes; compliance with applicable local laws; and ensuring adequate facilities, safety measures, and insurance for all events they organize through the Platform.
Event organizers agree to indemnify, defend, and hold harmless ShotLabs and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) any event organized through the Platform; (b) any financial dispute between the organizer and participating teams; (c) any injury or harm occurring at an event organized through the Platform; or (d) the organizer's failure to comply with applicable laws.
When registering a team that includes players under the age of 13, organizers and coaches must collect parent or guardian email addresses for each such player. ShotLabs will route communications to the parent or guardian rather than directly to the minor.
Gym listings on the Platform are submitted by community members and sourced from third-party services including Google Places. ShotLabs does not independently verify the accuracy of gym listing information.
Always confirm gym hours, availability, access requirements, and any membership or fee requirements directly with the facility before visiting. ShotLabs is not responsible for inaccurate listing information or for any costs, inconvenience, or harm resulting from reliance on gym listing data.
Gym photos may be sourced from Google Places API and are displayed in accordance with Google's Terms of Service. Photos do not constitute an endorsement of the facility by ShotLabs.
If you are the owner or authorized representative of a gym listed on the Platform and believe the listing is inaccurate, please contact us at support@shotlabsbasketball.com.
The Platform includes Nova, an AI-powered assistant built on the Anthropic Claude API. BY USING NOVA, YOU ACKNOWLEDGE AND AGREE THAT:
SHOTLABS EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY DECISION MADE IN RELIANCE ON A NOVA RESPONSE.
By submitting User Content, you grant ShotLabs a non-exclusive, royalty-free, worldwide, sublicensable license to use, display, reproduce, and distribute that content for the purpose of operating and improving the Platform.
You represent that you own or have the right to submit all User Content you post, and that your User Content does not violate any third-party rights or applicable law.
You may not submit User Content that is false, misleading, or submitted in bad faith; that harasses, threatens, or demeans other users; that contains personal information about minors without parental consent; that infringes intellectual property rights; or that violates any applicable law. We reserve the right to remove User Content that violates these Terms at any time without prior notice.
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS SHOTLABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATING TO: (A) YOUR USER CONTENT; (B) YOUR USE OF THE PLATFORM; (C) YOUR VIOLATION OF THESE TERMS; (D) YOUR VIOLATION OF ANY THIRD-PARTY RIGHT; OR (E) ANY CLAIM THAT YOUR USER CONTENT CAUSED DAMAGE TO A THIRD PARTY. THIS INDEMNIFICATION OBLIGATION SURVIVES TERMINATION OF YOUR ACCOUNT.
The Platform integrates with third-party services including Google Maps, Stripe, Twilio, Anthropic, and Resend.
SHOTLABS IS NOT LIABLE FOR ANY FAILURE, ERROR, OUTAGE, DATA LOSS, OR OTHER HARM ARISING FROM THE ACTS OR OMISSIONS OF ANY THIRD-PARTY SERVICE PROVIDER, REGARDLESS OF WHETHER SUCH HARM WAS FORESEEABLE. YOUR USE OF THIRD-PARTY SERVICES IS SUBJECT TO THOSE PROVIDERS' OWN TERMS AND PRIVACY POLICIES.
ShotLabs offers a free tier and a paid ShotLabs Pro subscription. Pro subscriptions are billed at the rate displayed at the time of purchase. All prices are in USD. Subscriptions automatically renew unless cancelled. No partial refunds are issued for unused time within a billing period.
ShotLabs reserves the right to modify subscription pricing with 30 days' notice to current subscribers. If you do not agree to a pricing change, you may cancel before the new rate takes effect without penalty.
ShotLabs may modify Pro features at any time. If ShotLabs removes a material Pro feature during your active subscription period, your sole and exclusive remedy is to cancel your subscription for a prorated refund of the remaining billing period.
You may delete your account at any time through the Profile section of the app. Upon account deletion, your personal profile data will be removed. Reputation records may be retained in anonymized or aggregated form for platform integrity purposes.
We reserve the right to suspend or permanently terminate your account if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, harassed other users, or submitted false reputation data.
Upon termination, your right to access and use the Platform ceases immediately. Sections 5, 6, 7, 9, 10, 11, 14, 15, 16, 17, and 18 survive termination.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND CONTINUOUS AVAILABILITY. SHOTLABS DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOTLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION:
— LOST PROFITS OR REVENUE FROM ANY SOURCE
— LOSS OF DATA OR CORRUPTION OF DATA
— COSTS OF SUBSTITUTE GOODS OR SERVICES
— LOST ATHLETIC SCHOLARSHIP OR RECRUITMENT OPPORTUNITIES
— LOST COACHING CONTRACTS, EMPLOYMENT, OR PROFESSIONAL OPPORTUNITIES
— REPUTATIONAL HARM ARISING FROM USER-SUBMITTED CONTENT
— HARM TO ATHLETIC CAREER OR STANDING
— FINANCIAL LOSSES FROM EVENT CANCELLATIONS OR PLATFORM OUTAGES
— EMOTIONAL DISTRESS OR LOSS OF ENJOYMENT
THE FOREGOING EXCLUSION APPLIES WHETHER OR NOT SHOTLABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY. THE FOREGOING EXCLUSION DOES NOT APPLY TO LIABILITY ARISING FROM SHOTLABS' GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOTLABS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO SHOTLABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIVE HUNDRED DOLLARS ($500.00 USD).
SEPARATE CAPS APPLY TO SPECIFIC CLAIM CATEGORIES:
— CLAIMS ARISING FROM USER-GENERATED CONTENT (PEER RATINGS, NO-SHOW REPORTS): $100 USD PER INCIDENT, AS SUCH CONTENT IS SUBMITTED BY THIRD PARTIES AND NOT BY SHOTLABS.
— CLAIMS ARISING FROM THIRD-PARTY SERVICE FAILURES (STRIPE, GOOGLE, TWILIO, ANTHROPIC, ETC.): THE AMOUNT RECOVERABLE SHALL NOT EXCEED WHAT IS RECOVERABLE FROM THE APPLICABLE THIRD-PARTY SERVICE PROVIDER.
— CLAIMS ARISING FROM DATA BREACH OR UNAUTHORIZED ACCESS: THE AMOUNT YOU PAID TO SHOTLABS IN THE SIX (6) MONTHS PRECEDING THE BREACH, OR $250 USD, WHICHEVER IS GREATER.
THESE CAPS APPLY CUMULATIVELY. THE FOREGOING CAPS DO NOT APPLY TO LIABILITY ARISING FROM SHOTLABS' GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
You acknowledge that the limitations of liability in this Section 14 are a fundamental element of the basis of the bargain between you and ShotLabs. ShotLabs would not provide the Platform to you without these limitations. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
ShotLabs shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God; natural disasters; pandemic or public health emergency; acts of government; internet or telecommunications outages; third-party service provider outages (including Google, AWS, Stripe, Anthropic, or Twilio); cyberattacks; or labor disputes. In the event of a force majeure event affecting the Platform, ShotLabs will use commercially reasonable efforts to restore service and notify affected users.
The ShotLabs platform, including its fan-follow architecture and peer ratings system, contains proprietary technology that is the subject of a pending U.S. patent application (Provisional Application No. 63/997,547). All Platform content, features, and functionality are owned by ShotLabs LLC and protected by U.S. and international intellectual property laws.
Nothing in these Terms grants you any ownership interest in the Platform or its underlying technology. Your User Content remains your property subject to the license granted in Section 10.
Any feedback, suggestions, or ideas you submit about the Platform become the property of ShotLabs without compensation to you, and ShotLabs may use them for any purpose without restriction or attribution.
Before initiating arbitration, you must send written notice of your dispute to ShotLabs at support@shotlabsbasketball.com. ShotLabs will attempt to resolve the dispute informally within 30 days of receiving notice. If unresolved after 30 days, either party may initiate arbitration.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring claims in small claims court if the claim qualifies.
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent misappropriation of intellectual property or confidential information.
ShotLabs will provide 30 days' advance notice of any material change to this dispute resolution provision. If you do not agree to a material change, you may close your account before the effective date and the prior version of this provision will apply to claims arising before account closure.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Chester County, Pennsylvania, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. Material changes include but are not limited to: changes to liability limitations, arbitration provisions, data collection practices, fee structures, and age requirements. We will notify you of material changes through the app or by email at least 14 days before they take effect.
If you do not agree to material changes, your sole remedy is to close your account before the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
